In a manner contrary to honest commercial practices: the Agreement on Trade-Related Aspects of Intellectual Property Rights gives natural and legal persons the right to have undisclosed information protected by governments and governmental agencies against disclosure, acquisition or use by others in a manner contrary to honest commercial practices. Such practices are defined as at least breach of contract, breach of confidence and inducement to breach. They include the acquisition of undisclosed information by third parties who knew, or were grossly negligent in failing to know, that such practices were involved in the acquisition. An identical provision can be found in Article 1721 of NAFTA. See also trade secrets.
